Description/History
The City Council has determined that there is a need to have an alternate member added to the Mansfield Park Facilities Development Corporation (MPFDC) to ensure that the business of the Corporation may be carried out in the absence of a regular member. This change requires an amendment of the Corporation Bylaws and Certificate of Incorporation by the MPFDC Board and City Council.
Two additional changes are also being proposed to the Corporation Bylaws at this time. First, under Article III Section 6, the proposed amendment would allow the Board to appoint a person other than a Board member as the Corporation secretary. Second, under Article V Section 2, an amendment is being proposed related to the schedule for the annual budget adoption. Currently, the Bylaws state that the Board shall adopt a budget at least ninety (90) days prior to commencement of each fiscal year. The proposed amendment changes the timeline to sixty (60) days prior to commencement of each fiscal year to align with the City’s current budget adoption schedule.
